Terms of Service

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Application means the software program provided by the Company downloaded by You on any electronic device, named ShopSwap
  • Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Country refers to: Texas, United States
  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to ShopSwap Inc., 2509 S 5th St Unit B.
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Service refers to the Application or the Website or both.
  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Website refers to ShopSwap, accessible from https://shopswap.com
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

1. Introduction

Welcome to ShopSwap.com. By accessing our website, services, or any applications (together, “ShopSwap”) made available by ShopSwap, LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Service Description

ShopSwap is a platform designed to facilitate co-marketing campaigns between Direct-to-Consumer (DTC) brands. Our services allow brands to leverage shared marketing resources, exchange data, and collaborate on promotional activities.

3. Shopify Data Use

In the provision of our services, we access and use specific data from Shopify, including:

Customer Info: Information about customers, including but not limited to country, city, orders, ID, email, customer ID, number of orders, and geographical details.
Shop Info: Data about shops, such as ID, email, country, city, contact email, description, URL, and domain.
Product Info: Details about products including ID, description, title, and images.
We use this data to enhance our services, facilitate better matches between co-marketing partners, and improve marketing strategies.

4. User Obligations

You are responsible for maintaining the confidentiality of your ShopSwap account information, including your password, and for all activity that occurs under your account. You agree to use ShopSwap for lawful purposes only.

5. Intellectual Property

All content included on ShopSwap, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the site, is the property of ShopSwap, LLC or its suppliers and protected by copyright and intellectual property laws.

6. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. It is your responsibility to check these Terms periodically for changes.
